.Under the agreement of both Parties, the responsibility and concerned items are declared as follows:

1）Quantity should be Paid after completeThe cost of transport、meal、accommodation etc, caused by travel beyond original workplace will be extra counted.

3.The responsibility and commitment of Party A
1）Cooperate with the workers from Party B, and provide needful working conditions.
2）Provide Party B with relevant accounting document、account book、report forms as
well as other tax related documents timely.And ensure the facticity、legality and completene of the above materials.If any wrong results of this agency occur, and caused by any faulty documents Party A provided, Party B will not be responsible for it.
3）Any arrangement that Party A attempt to have any illegal acts are not allowed，If there exist，even don’t cease after the exhort form Party B, Party B has its right to terminate the agency busine and charge the service fee by hour according to the treaty.
4）Pay the charge accurately and timely according to related items on the treaty.If can’t pay on time, a penalty will be paid by a percentage of the appointed amount.
4.The responsibility and commitment of Party B
1）Designate agent workers to offer appointed services for Party A timely after the acceptance ofthe authorization.
2）Be obliged to keep all the related commercial secret confidential and preserve the legitimate rights and interests of Party A.
3）Be obliged to offer Agency Report on schedule.If can’t, and not caused by Party A, a penalty will be paid by a percentage of the paid agency fee.
5.As the investigation of Party B is after-event selective inspections, plus the inherent internal control system of Party A and other objective limitations, it is hard to avoid the existence of the inconsistentne in some respects of the Report Form that the censors of Party B would probably not find during the investigation, on this condition, so, the responsibility of Party B can’t not replace, diminish or exempt the responsibility of the accountant of Party A.
6.After this treaty is reached，both parties shall act positively to follow it，and not allowed to terminate for no reason.If do need to terminate due to special reasons of legal conditions or irresistible, one Party should inform the other timely，and allow reasonable time to prepare for the opposite side.
7.It should be consulted and agreed between both parties if need to modify or supplement concerned item(s) due to any circumstances changed during the implementation of the treaty.
8.If any controversy occurred, both parties should consult to settle first, or take legal action if needed.
9.This treaty will come into force after signed and sealed officially by both paties’legal representative.
10.The valid period of this treaty is from the date the treaty reached to the date the Report offered.
11.This treaty is in duplicate, each party keeps one copy, and both have the same legal effect.
12.Any items this treaty doesn’t mention can be supplemented in other supplementary treaty after the agreement of both parties.
