It is with regret that we accept your resignation as a member of our Board of Directors and as Chairman of the Audit Committee.

During your tenure, you have been instrumental not only in auring that our public filings were in accordance with all legal and regulatory requirements, but also in establishing the highest standards of ethics in financial accountability and reporting.

We confirm that there have not been any disagreements during your tenure, neither with the Company’s auditors, nor with the Company on matters relating to the Company’s operations, policies, practices or financial disclosures.
我们确认在您任期内，本公司审计师及与本公司有关之业务，政策，经营或财务信息披露事宜等方面均未出现任何分歧。
We also confirm that the Company shall continue to indemnify, defend and hold you harmle from any claim, lo, demand, lawsuit, cause of action, judgment of any third party or expense incurred by you as a result of or in connection with the performance of your duties as a member of the Board of Directors and as Chairman of the Audit Committee to the fullest extent provided for under our Company charter, by-laws, and applicable law.
我们亦确认，针对由您按照公司相关章程法规而履行公司独立董事及审计委员会主席职责而引起的来自第三方的索赔、损失、诉讼及审判，我公司将保障您免受相关诉讼及损失。
If a claim is aerted against you arising out of or related to the performance of your duties as a director of the Company, you shall promptly give the Company notice of such claim.
若出现针对您履行公司董事职务或与之相关的索赔情况，务将相关事项及时告知本公司。
The Company shall, at its sole expense, timely engage counsel to jointly represent you and/or the Company, and shall retain the right to control the defense and/or settlement of such matter, with any settlement amounts being borne solely by the Company, except as specifically prohibited by applicable law.
公司将以自身费用及时为您与公司（或公司）聘请共同代理律师，且有权决定相关事项最终解决，相关费用公司独自承担，除非相关适用法律明确禁止。
Should there be a circumstance where an actual or potential conflict arises which prevents joint representation, you have the right to retain counsel of your choosing to protect your interests, and your counsel’s legal fees and expenses will be reimbursed to your counsel by the Company on a current (as-billed) basis.
若有实际的或潜在的冲突情况阻止聘请共同律师代表，则您有权聘请律师以保护自身利益，且公司补偿您聘请律师的相关费用。
We will submit the proposed wording of the Company’s description of your resignation in any public filings or statements (including, without limitation, pre releases) to you for your review and approval prior to filing or publication。
在把您的辞职报告存档及公告之前, 我们会把公司就您的辞职报告所发表在公开文件及陈述之意见（包括新闻发布会）提交给您过目及确认同意。
