产品代销合同翻译（中英对照）

____________________________________________________________.为明确双方权利义务，保护当事人双方的合法权益，特订立如下条款：Party A agrees to let Party B sell its proprietary stone products， namely： ___________on consignment basis.In order to specify the duties and responsibilities，
legitimate rights and interests of both Parties， Party A and Party B both agree to the provisions herein set forth：
1.甲方提供产品样品和产品批发价给乙方。样品的摆设和产品的销售场所由乙方提供，乙方按实际销量向甲方进货。产品的零售价乙方有自定权。
Party A agrees to supply Party B the product samples and wholesale price lists.Party B shall provide the sales venue and be responsible for the display of product samples.Party B shall purchase from Party A ， the actual quantity sold， the retail prices shall be fixed by Party B.
2.甲方发货地点___________________________， 乙方的收货地点_________________________， 其间的运输费用由甲方承担。
Product dispatching point of Party A____________________________ ，Product receiving point of Party B____________________________ Transportation charges between the two points shall be paid by Party A.
3.甲，乙双方按实际情况协商交货时限。
Party A and Party B shall negotiate the delivery time based on actual situations.
4.甲方发货________________日内，乙方必须把货款汇至甲方指定帐号，甲方货款一批发价结算。零售价与批发价的差额归乙方所有。
Within ________days after the dispatch of goods， Party B shall remit payment to Party A‘s specified bank accounts.Payment of goods shall be based
on wholesale prices and the difference in amount between retail and wholesale prices shall go to Party B.
5.代销期限：从________年_______月______日至_______年______月
_______日止。在合同期满 30 日内，甲乙任何一方未对合同结束通知时，本合同自动延长一年。若合同期满不继续合作，乙方不得把代理的权利转给他人，本行业的相关信息也不能向第三方泄露，甲方收回所有未售商品。（包括样品）
This consignment： Contract shall be effective from
__________________________to _________________________.Within 30 days after the expiry date of this Contract， if neither Party A nor Party B
receives any Contract termination notice， this Contract shall be automatically extended for one more year.In the event of both Parties agree to terminate the Contract after the expiry date， the consignment rights of Party B shall not be transferable， and Party B shall not reveal to third party ，all the confidence information relating to this industry.Party A shall recall all unsold goods （samples inclusive）
6.甲方给乙方的批发价是内定价格，乙方要作为商业机密进行保密。
The wholesale prices supplied by Party A to Party B are trade secrets； Party
B shall not reveal it to anyone.
7.甲方可根据原材料物价等的变动，变更产品的批发价格。在乙方订货前先行告知。Party A reserves the rights to adjust the product prices in accordance with price fluctuations of raw materials； but prior notice shall be given to Party B.
8.乙方要充分掌握甲方的产品知识，如因销售过程中对产品知识认识不足导致与客户间的纠纷，甲方不承担任何连带责任。
Party B shall be well versed in product knowledge.Party A shall not be jointly liable for any sales dispute between customers and Party B arising out of this cause.
9.甲方在产品出厂前对质量进行严格的质量合格检验，甲方负责发货，在运输过程中如出现产品损坏，甲方按相关规定向承运方追究责任。乙方不承担责任。
Party A shall perform stringent quality checks on all products before
shipment.Party B shall not be responsible for any damages to products during transportation； Party A shall claim indemnities from the carrier according to regulations.
10.乙方销售场地、帐号和法人代表变动时，必须事前通知甲方。
Prior notice shall be given to Party A by Party B in the event of changes in sales venue， bank accounts or its legal representative.
11.如果合同未规定的情况发生，或者合同条款解释有异议处，双方应有诚意地协商解决。如果本合同带来不可预知的纠纷，约定通过甲方所在地的仲裁机构进行解决。
In the event of unspecified incidence， or conflicting interpretations to this Contract occurs， both Parties shall resolve amicably.Any unforeseen dispute arising out of this Contract shall be resolved by the regional arbitration organization of Party A.
作为本合同的证据，甲、乙双方签名盖章生效。本合同一式两份，甲乙双方各保留一份。This Contract shall be effective with both Parties‘ signatures and seals
attached hereunder.This Contract is in duplicate， Party A and Party B shall hold one each.

1.The parties agree that this Agreement is governed by all the relevant provisions
of Chinese laws, rules and regulations (including anti-corruption laws, and
anti-money laundering laws).The parties shall earnestly comply with the
provisions of all laws, rules and regulations related to this Agreement.Party C warrants and represents that neither Party C nor any of its officers, directors, employees, agents, or others acting on behalf of Party C shall engage in any
conduct to induce or cause an employee or representative of Party A or Party B to violate any applicable law, rule, or regulation related to this Agreement.Party C further warrants and ……….
协议各方同意：本协议受中国法律（包括反腐败法和反洗钱法）所有相关条款的管辖。各方应当切实地遵守有关本协议的所有法律、法规和规则的规定。丙方保证并声明：无论是丙方，还是其他任何管理人员，董事，雇员，代理人，或代表丙方的其他人，都不得从事任何行为，诱使或致使甲方或乙方的
雇员或代表违反任何与本协议相关的适用法律，法规或规则。丙方进一步保证和声明：本协议的宗旨和条款在任何方面都没有违反当地的法律。
2.All payments made by Party A and Party B to Party C shall be made directly to
the account of Party C, and no individual will be promised or receiving anything of value for their own personal benefit in connection with this Agreement;further, Party C agrees that, in performing, or preparing to perform, its obligations under this Agreement, neither Party C, nor any of its officers, directors, employees, agents, or others acting on behalf of Party C, shall – directly or indirectly – (1) make any payment, offer, promise to pay, or authorization of any of the foregoing, of any funds, gifts or anything of value to (i) any officer or employee of any government body, including any government-owned or government-controlled company or enterprise, (ii) any person acting on behalf of any of the foregoing, (iii) any political party or official thereof or any candidate for public office, or (iv) any agent or other person engaging in any of the above-described activities at the suggestion, request, direction or for the benefit of any of the above-described persons, or (2) make any bribe, unlawful rebate, payoff, influence payment,
kickback or other unlawful payment to any person, in any form, whether in money, property, favors or services, in exchange for favorable treatment in securing busine, in exchange for special conceions, or in exchange for favorable treatment related to busine or special conceions previously obtained or secured.由甲方和乙方支付给丙方的所有款项，都应当直接汇至丙方的账户，不得就本协议向任何个人许诺任何价值的个人利益，任何人也不得接受任何价值的个人利益；此外，丙方还同意：在履约期间，或在准备履约期间，其在本协议项下的各项义务，无论是丙方，还是其任何管理人员，董事，雇员，代理人，或代表丙方行事的其他人，都不得直接或间接地 (1) 将任何金钱、礼品或有价物向下述人员支付、提供、承诺支付、或授权上述行为：(i) 任何政府机构的官员或雇员，包括在政府所有的或控制的公司或企业里的官员或雇员；(ii) 任何代表上述机构行事的个人；(iii) 任何政党、或其官员、或其公职候选人；或 (iv) 按照上述人员的建议、要求、决定行事的，或者为了上述人员的利益行事的，任何代理人或从事上述活动的其他人；都不得 (2) 向任何人贿赂，给予非法折扣，回报，回扣、影响付款，或进行其他非法支付，不论其形式如何，如在为确保业务以优惠待遇作交换时；在以特别让步作交换时；或者在上述确保业务或获得特别让步相关的优惠待遇所作的交换时，提供金钱，财产，好处或服务。
3.Party C covenants and agrees that it shall defend, indemnify, and hold Party A
and Party B, their affiliated companies, and their respective officers, directors, employees, shareholders, affiliates, agents, and other representatives
(collectively “Indemnitees”) harmle from and against any and all damages, claims, suits, penalties, loes, expenses, costs, obligations, and liabilities,
arising from any violations of applicable law, rule, or regulation (including but not limited to anti-corruption or anti-money laundering) caused by the actions of Party
B or its officers, directors, employees, agents, or others acting on its behalf.These covenants shall continue in full force and effect, notwithstanding the termination or expiration of this Agreement.丙方保证并同意：如因乙方或其管理人员，董事，雇员，代理人的行为，或代其行事的其他人的行为，导致违反适用的法律，法规或规则（包括，但不限于，有关反腐败和反洗钱的法规），而造成任何的损害赔偿、索赔、诉讼、罚款、损失、费用，成本、义务及法律责任等，丙方应当对甲方和乙方及其下属公司，各自的管理人员，董事，雇员，股东，关联公司，代理人和其他代表（以下统称“接受赔偿人”）进行辩护，给予赔偿，保护其不受伤害或损失。即使在本协议终止或期满之后，这类保证应当继续全部有效。
