The Option shall be exercisable, in whole or in part, in accordance with the terms of the Plan, the Option Rules (attached hereto as Exhibit A) and the following vesting schedule: 期权根据期权计划协议，可以全部或部分行权，期权规则见(附件A)。
The Optioned Shares shall be subject to a four-year vesting schedule and shall vest twenty five percent on each anniversary of the Vesting Commencement Date on the same day and month as the Vesting Commencement Date following the Vesting Commencement Date, subject to Optionee continuing to be a Service Provider through each vesting date.期权按四年授予计划授予被授权人，自行权起始日起连续四年的每年同一天（即行权开始日）授予被授权人25%的期权，前提是该被授予人必须确保在每年的行权日仍是公司员工。 托管条款

However, Option may only be exercised as to the Optioned Shares that have vested as of the date of the Optionee’s termination as a Service Provider (the “Termination”) and in no event may the Option be exercised after the Expiration Date.Notwithstanding anything contained in this Agreement or 2012 Global Share Plan, all the Shares that have been awarded or purchased shall be totally rescinded, at the Company’s sole discretion, on the date of termination of the Optionee’s relationship as the Service Provider, in the event that the Service Provider terminates its service due to (i) Infringement of Company’s interest (including but not limited to competing with the Company,working part-time during employment without obtaining the prior permiion of the Company, disclosing the Company’s confidential information or busine secret and slandering the Company’s reputation) (attached hereto as Exhibit E and Exhibit F) or (ii)any severe violation of PRC’s 终止事项后的最长行权期限 Immediately 立即12 months终止雇佣关系后12个月 12 months终止雇佣关系后12个月
laws and regulations or the Company’s internal policies.Notwithstanding anything contained in this Agreement or 2012 Global Share Plan, in the event of the Termination of Service with the Company within the four-year vesting schedule, but such Termination occurs before Initial Public Offering (“IPO”), the Company shall refund 10% of the actual Purchase Price（as defined in Exhibit G) for the actually exercised Options, and terminate such vested Optioned Shares immediately.It is your responsibility to exercise the Option, if you so desire, before it expires or terminates.
但是，被授权人在服务终止日时, 只有已经依行权计划及行权条件被授予的期权才可以行权，在终止日期之后的期权不能再行权。无论本协议或是2011股权激励计划所包含的规定，凡是员工因(i) 侵犯公司利益的行为（包括但不限于与公司竞业，未经公司允许于雇佣关系期间兼职，擅自泄露公司秘密信息以及商业秘密，诋毁公司声誉）(见附件E和附件F) 或是(ii) 任何严重违反中华人民共和国法律法规或是公司内部规章的行为导致的雇佣关系的终止，公司有权在终止与被授权人的雇佣关系之日起自主决定收回其所有获得或购买的股票。无论本协议或是2011股权激励计划所包含的规定，在四年行权计划时间内，但在公司未上市时即与公司终止雇佣关系的员工，公司应就实际行权价(见附件G)的10%回购其已被授予的期权，并且立即停止此期权。被授权人有责任在行权日期满之前或者终止事项发生之前行权。
The Participant is aware that, notwithstanding anything to the contrary in this PRC Share Option Agreement (the “Option Agreement”), the exercise of the Option is subject to certain regulations of the PRC, including those implemented by the State Administration of Foreign Exchange (the “Restriction”).The Participant further acknowledges that if the Restriction does not allow the Company to iue Optioned Shares to the Optionee upon the Optionee’s attempted exercise of the Option that the Company will be not liable to the Optionee in any respect and will not be required to provide any compensation or other consideration to the Optionee as a result of the failed Option exercise.The Participant recognizes that if the Restriction continues to prohibit the Company from iuing Optioned Shares pursuant to the Option at the time of his or her termination of Service, the Option shall in any event terminate and expire according to the Option Termination schedule listed above.
被授权人理解，如果按照中国法律，期权的行权有与期权协议相反的规定，行权仍必须按照中国法律规定进行，包括国家外汇管理局颁发的条例。被授权人进一步确认，如果法律并不允许公司发行期权，那公司无需对被授权人承担任何责任，并且被授权人不会就此要求公司做出任何赔偿或其他意见。被授权人确认，如果被授权人在其服务终止时，根据中国的法律仍禁止公司发行期权，期权应依据上述期权终止计划终止或者过期。
The Board may at any time amend, alter, suspend, or terminate the Plan.
董事会有权对此期权计划进行修改、变更、暂停或终止执行。
Your signature below indicates your agreement, understanding, and acceptance that the Option is subject to all of the terms and conditions contained in Exhibit A, the Plan, and the Escrow Provisions (Exhibit B), Exercise Notice (Exhibit C), Investment Representation Statement (Exhibit D), 廉洁协议书 （Exhibit E）, 保密、竞业限制和知识产权归属协议（Exhibit F）and 确认函 (Exhibit G).Please be sure to read all of Exhibit A, B, C, D, E, F and G, which contain the specific terms and conditions of the Option.This Option Agreement does not represent a securities interest in the Company, which interest may accrue only upon the exercise of the Option in accordance with its terms.
本协议的签署，证明被授权人已经理解并且同意本授权需要以遵守附件A，期权计划协议，托管条款(附件B)，行权通知书（附件C），投资代表陈述（附件D），廉洁协议书（附件E）, 保密、竞业限制和知识产权归属协议（附件F）以及确认函(附件G)为前提。请确认已经阅读了所有本协议附件A、B、C、D、E、F、G的条款。本授权协议并不代表已经获得本公司的担保权益，该权益只有通过按照本协议中的条款行权之后才获得。
