1. Herein 与Thereof
这是一组由“here+介词”、“there+介词”和“where+介词”组成的副词。例如,hereafter, hereby, herein, hereof, hereto, hereunder, herewith, thereafter, thereby, thereof, therefrom, therein, thereon, thereto, thereunder, therewith以及whereas, whereby.
在这里,here可一般性地理解为“本法律文件”;如果我们正在处理的是一份合同,“hereto”=“to this contract”,“hereunder”=“under this contract”。“there”则指文中刚刚提及的除“本法律文件”外的其他事物。
例1,Subject to the terms and conditions of this Contract, Party A shall aign, transfer, convey and deliver to the Company the Contributed Aets, in each case, free and clear of any mortgage, deed of trust, lien, pledge, hypothecation, aignment, security interest, or any other encumbrance of any type whatsoever of, on or affecting the Contributed Aets or any portion thereof or any interest therein (Collectively, “Encumbrances”), except for the Encumbrances exprely listed on Schedule A hereto.

2. Shall 与 May
“Shall”和“May”是法律文件中用得最多的两个情态动词,分别用来表示“义务”和“权利”。“Shall”通常被译为“应当”,“May”通常被译为“可以”。
